1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Dsquared Media, operating as ConvertCMS.ai ("ConvertCMS," "we," "us," or "our"). By accessing or using our website at convertcms.ai and related services (the "Service"), you agree to be bound by these Terms.

ConvertCMS.ai is built on and hosted by the Manus platform (operated by Butterfly Effect Pte. Ltd.). By using our Service, you also agree to the Manus Terms of Use, which govern the underlying platform infrastructure. In the event of any conflict between these Terms and the Manus Terms of Use regarding platform-level matters, the Manus Terms of Use shall prevail.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

ConvertCMS.ai provides an AI-powered conversion service that transforms static HTML files, ZIP archives, and web project exports into editable content management system (CMS) themes, primarily for WordPress. The Service includes file upload and processing, AI-powered code analysis and conversion, WordPress theme generation with Advanced Custom Fields (ACF) integration, license key management, and optional add-on features such as AI Visibility Engine for AI search engine optimization.

3. Account Registration

To use certain features of the Service, you must create an account through our OAuth authentication system. You agree to provide accurate, current, and complete information during registration, maintain the security of your account credentials, promptly notify us of any unauthorized access to your account, and accept responsibility for all activities that occur under your account.

You must be at least 18 years of age to create an account and use the Service.

4. Subscriptions and Payment

4.1 Subscription Plans

The Service offers subscription plans (Individual, Agency, and Enterprise) with varying features and conversion limits. Plan details, pricing, and included features are described on our pricing page and may be updated from time to time.

4.2 Billing

Subscriptions are billed on a recurring monthly basis through our payment processor, Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle. All fees are stated in U.S. dollars unless otherwise indicated.

4.3 Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation, your subscription will remain active until the end of the current billing period. No refunds are provided for partial billing periods. Upon cancellation, your license keys will be deactivated and any WordPress themes using those license keys will cease to function.

4.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' notice before any price increase takes effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Intellectual Property and Ownership

5.1 Your Content

You retain ownership of all files you upload to the Service ("Input"). You also retain ownership of the converted themes generated by the Service ("Output"), subject to the license restrictions described below. You represent and warrant that you have all necessary rights to upload your Input files and that your Input does not infringe on any third party's intellectual property rights.

5.2 License to Use Output

Subject to an active subscription and valid license key, you are granted a non-exclusive, non-transferable license to use the Output (converted WordPress themes) on the number of domains permitted by your subscription plan. This license is contingent upon maintaining an active subscription. If your subscription lapses, the license is revoked and the themes will cease to function.

5.3 Our Intellectual Property

The Service, including its design, code, algorithms, branding, and documentation, is owned by Dsquared Media and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of our conversion engine.

5.4 Platform Attribution

In accordance with the Manus platform terms, output generated through the Service may contain a "Made with Manus" watermark or other forms of platform identification, which are inherent components of the underlying system.

6. License Keys

Each converted WordPress theme requires an active license key to function. License keys are tied to your subscription and are subject to the following terms: each license key may be activated on one WordPress domain at a time (unless your plan permits multiple activations), license keys are non-transferable, sharing or distributing license keys is prohibited, and we reserve the right to deactivate license keys that are being used in violation of these Terms.

7. AI Disclaimer and Limitations

The Service uses artificial intelligence to convert your files. In accordance with both our own policies and the Manus platform terms, you acknowledge and agree that:

• AI-generated output may contain errors, inaccuracies, or unexpected results.
• You are responsible for independently reviewing all Output before deploying it on any website.
• The conversion process is probabilistic and results may vary between conversions.
• We do not guarantee that the Output will be identical to your original design in all respects.
• You assume full responsibility for any decisions, actions, or omissions based on the Output.
• The AI may not correctly interpret all design patterns, interactions, or dynamic functionality in your Input files.

8. Acceptable Use

You agree not to use the Service to:

• Upload files that contain malware, viruses, or malicious code
• Convert content that infringes on third-party intellectual property rights
• Convert content that is illegal, defamatory, obscene, or otherwise objectionable
• Attempt to reverse engineer, decompile, or extract our conversion algorithms
• Use automated tools to scrape, crawl, or bulk-access the Service
• Resell, redistribute, or sublicense the Service itself (you may sell websites built with converted themes to clients)
• Circumvent or attempt to circumvent the license key system
• Interfere with or disrupt the Service or its infrastructure

9. Agency Use

If you are using the Service under an Agency or Enterprise plan on behalf of clients, you are responsible for ensuring that your use complies with these Terms, your clients' use of the converted themes complies with the license terms, and you do not represent the Service as your own product. Agency plans may include white-label options that allow you to remove ConvertCMS branding from converted themes, subject to the terms of your specific plan.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONVERTCMS.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Indemnification

You agree to indemnify, defend, and hold harmless ConvertCMS.ai, Dsquared Media, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your Input files or any content you upload, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately, your license keys will be deactivated, and any WordPress themes using those license keys will cease to function. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, and indemnification.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out of arbitration within 30 days of first accepting these Terms by sending written notice to [email protected].

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and the Manus Terms of Use, constitute the entire agreement between you and ConvertCMS.ai regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
